On the issue No. 1:
1. Approve the conclusion of a transaction by PJSC Rosseti Moscow Region related to the alienation of property constituting fixed assets, the purpose of which is not production, transmission, dispatching, distribution of electrical and heat energy on the following essential conditions:
- composition of the alienated property:
land plots (hereinafter - Property) in compliance with Appendix 1 to this decision of the Board of Directors of the Company;
- the total book (residual) value of the alienated property as of September 30, 2020 is 2,358,791 (two million three hundred fifty eight thousand seven hundred ninety one) rubles 04 kopecks;
- method and form of property alienation:
sale by a single (separate) lot(s) at an open auction with the involvement of an agent for the sale of property;
- the initial sale price of the property (the initial auction price) is equal to the total market value of the property determined by the independent appraiser LLC M-Consulting (appraisal report dated October 29, 2020 No. MK-ZU-2020), and in aggregate is 52 502 952 (Fifty-two million five hundred two thousand nine hundred fifty two) rubles 00 kopecks, VAT is not charged. In case of alienation by separate lots, the initial auction price is equal to the market value of the separately alienated land plot (appraisal report dated October 29, 2020 No. MK-ZU-2020);
- procedure (term) of payment for the alienated property:
The Buyer pays the cost of the Property in cash within 15 (fifteen) working days from the date of signing the contract(s) of purchase and sale.
On the issue 2:
Approve the Regulations for the sale of debts of PJSC Rosseti Moscow Region in compliance with Appendix 2 to this decision of the Board of Directors of the Company.
On the issue 3:
Take note of the report of the General Director of PJSC Rosseti Moscow Region on insurance coverage in the Q3 of 2020 in compliance with Appendix 3 to this decision of the Board of Directors of the Company.
On the issue 4:
Approve the conclusion of an agreement on compensation in property form between PJSC Rosseti Moscow region and Alexander Yurievich Avdonkin on the conditions in compliance with Appendix 4 to this resolution of the Board of Company Directors.
On the issue 5:
Approve the conclusion of an agreement on compensation in property form between PJSC Rosseti Moscow region and JSC GrandSystems on the conditions in accordance with Appendix 5 to this resolution of the Board of Company Directors.
On the issue 6:
Approve the conclusion of an agreement on compensation in property form between PJSC Rosseti Moscow region and CJSC METMEDMEBEL on the conditions in compliance with Appendix 6 to this resolution of the Board of Company Directors.
On the issue 7:
Approve the conclusion of an agreement on compensation in property fom between PJSC Rosseti Moscow region and LLC KUPELINKA DEVELOPMENT on the conditions in compliance with Appendix 7 to this resolution of the Board of Company Directors.
On the issue 8:
Approve the conclusion of an agreement on compensation in property form between PJSC Rosseti Moscow region and JSC RZD on the conditions in compliance with Appendix 8 to this resolution of the Board of Company Directors.
On the issue 9:
Approve the conclusion of an agreement on compensation in property fom between PJSC Rosseti Moscow region and LLC BusinessGroup on the conditions in compliance with Appendix 9 to this resolution of the Board of Company Directors.
On the issue 10:
Approve the completion of the transaction by PJSC Rosseti Moscow Region related to the alienation of property comprising fixed assets, non-material assets, construction in progress, the purpose of which is not the production, transmission, dispatching, distribution of electricity and heat - a land plot with an area of 418,000 sq. m, located at the address:
Moscow oblast, Klinsky district, near the village Spas-Zaulok, on the following essential conditions:
1. Alienated property:
a land plot with an area of 418,000 sq. m, located at the address:
Moscow oblast, Klinsky district, near the village Spas-Zaulok, cadastral number 50:03:0020180:5 (further - Property).
2 Book value of the Property as of July 31, 2020 is 5,225,760 (Five million two hundred twenty five thousand seven hundred sixty) rubles 00 kopecks.
3. Method of alienation of the Property:
sale at an open auction with an initial price equal to the market price with the involvement of an agent for the sale of the property. Market value of the Property is 192,000,000 (One hundred ninety two million) rubles 00 kopecks, VAT exempt (determined on the basis of the report on the assessment of the market value of the Property dated August 27, 2020 No. H-31998/19, prepared by the appraisal organization LLC Lair).
4 Procedure for payment for the Property:
in cash within 15 (fifteen) working days from the date of signing the purchase and sale agreement.
