Moscow United Electric Grid Company held the Annual General meeting of Shareholders

June 24, JSC Moscow United Electric Grid Company (part of Russian Grids state company) held the Annual General meeting of Shareholders. The owners of 44.98 bln of the company's common shares participated, which made up 92% of the voting stock.

The members of the Board, Moscow Oblast energy minister, management of JSC "MOESK" and other persons took participation in this event.

During the Annual General meeting of Shareholders of JSC “MOESK” all the agenda issues were discussed and finalized.

Annual report, financial statements and 2014 profit distribution were approved, Board members* and Audit committee were elected. JSC "MOESK" Board of Directors now is formed out of seven representatives of its majority shareholder - JSC Russian Grids, four representatives of CJSC “Leader”, and one representative of Bank GPB (JSC), and one representative of JSC OEK-Finance. The following people were re-elected: O.M. Budargin, A.A. Gavrilenko, S.V. Grischenko, A.A. Demin, A.A. Kokin, V.M. Kravchenko, S.Yu. Lebedev, P.A. Livinskiy, Yu. N. Mangarov, S.A. Nikitin, A.V. Nuzhdov and P.A. Sinyutin.

According to the voting results 25% of net profit as in last year will be paid as dividends; amount - 0.0422 rubles per one ordinary action.

The meeting also approved new Charter and Regulation versions of JSC "MOESK": about General meeting of the shareholders, about Board of Directors, about Audit committee, about administration, about rewards and fees to be paid off to the members of the BD, about rewards and fees to be paid off to the members of the Audit committee.

MOESK auditor is LLC “RSM RUS” according to the shareholders decision.

During meeting the shareholders adopted a decision to approve related party transactions between JSC “Moscow United Electric Grid Company” and JSC “Plant RETO”, JSC “MKER” and LSC “MKSM”, that are interesting and that may be completed taking in account a result of competitive procedures that may take place in the future process of performance by JSC “Moscow United Electric Grid Company” of its usual business activities.

The MOESK general meeting of shareholders approved directors and officers of the Company liability insurance agreement.
